Acceptance of these terms

These Terms of Service (the “Terms”) form a binding agreement between you and Boaflow (“Boaflow”, “we”, “us”, or “our”) governing your access to and use of our website, applications, and related services (together, the “Service”).

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep it up to date.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use or security incident.

The service

Boaflow is an AI-powered lead-discovery platform. It searches public sources, qualifies businesses, and surfaces decision-maker information to support your outreach.

We may update, improve, or change features over time, and we may introduce or modify usage limits. We aim to give reasonable notice of material changes that adversely affect how you use the Service.

Plans, trials, and billing

Paid plans may begin with a free trial. To start a trial you may be asked to provide a valid payment method. Unless you cancel before the trial ends, your subscription will begin automatically and your payment method will be charged the applicable fee.

Subscriptions renew automatically each billing period until cancelled. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current period, and you retain access until then.

Fees are billed through Stripe, are stated exclusive of taxes unless noted, and are non-refundable except where required by law. We may change our prices on reasonable notice, effective at your next renewal.

Usage limits — including credit balances, qualified-lead caps, and daily- and monthly-search limits — apply per plan and may be enforced at the API boundary.

Acceptable use

You agree to use the Service only for lawful business purposes. You may not:

• Use the Service in violation of any applicable law, including anti-spam, electronic-marketing, telemarketing, and data-protection regulations.
• Send unlawful, deceptive, harassing, or unsolicited communications, or fail to honor opt-out and deletion requests from people you contact.
• Resell, sublicense, or redistribute raw lead data as a standalone product or dataset.
• Reverse-engineer, scrape, overload, disrupt, or attempt to gain unauthorized access to the Service or its systems.
• Use the Service to harass, defraud, discriminate against, or harm others, or to build a competing product.

Your data and responsibilities

You retain ownership of the data you submit to the Service (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, and use Customer Data as needed to provide and improve the Service and as described in our Privacy Policy.

You are solely responsible for your outreach and for how you use the leads and information obtained through the Service, including obtaining any consents and providing any notices required by law. You represent that you have the necessary rights to provide any Customer Data you submit.

Intellectual property

The Service, including its software, design, and content (excluding Customer Data and third-party data), is owned by Boaflow and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

Any feedback you provide may be used by us without restriction or obligation to you.

Third-party and public data

Lead and business information is provided on an as-is basis from third-party and public sources. We do not warrant its accuracy, completeness, or fitness for a particular purpose, and you are responsible for verifying it before acting on it.

The Service may integrate with third-party services that are governed by their own terms; we are not responsible for those services.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will produce specific outcomes or results.

Limitation of liability

To the maximum extent permitted by law, Boaflow and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service.

Boaflow’s total liability for all claims relating to the Service is limited to the greater of the amounts you paid to Boaflow for the Service in the twelve months preceding the event giving rise to the claim, or USD 100.

Indemnification

You agree to indemnify and hold harmless Boaflow and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Data, your outreach, or your breach of these Terms or of applicable law.

Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or create risk or legal exposure for us or others, and we may discontinue the Service with reasonable notice.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after an update means you accept the revised Terms.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Boaflow is established, without regard to conflict-of-laws rules. You agree to resolve disputes in the courts of that jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

Nothing in these Terms limits any mandatory consumer rights you may have under the laws of your country of residence.
